GEM Marketplace buyer terms

These terms are between Yamu Aryal, a sole trader of New South Wales, Australia (ABN 20 230 614 458), who runs Gentle Everyday Moments ("GEM"), and the business you register for ("you").

1. Your account

Accounts are by invitation. You must give accurate details, keep your login private and tell us if it is misused. You're responsible for activity on your account.

2. Briefs

  1. You can post briefs describing footage you want, including the budget per approved clip, total budget, specifications, what must and must not be included, usage, territory and licence term.
  2. GEM reviews every brief before creators see it and may decline or ask you to change a brief (for example, if it asks for something unsafe, unlawful or that would identify children).
  3. Creators submit footage for your brief. You see watermarked previews only, and creators are not identified to you.

3. Previews are confidential

Previews are for evaluation only. You must not download, copy, screen-record, share or use a preview, or try to remove a watermark or get around GEM's protections. Previews show your account details as a watermark. If you breach this clause, GEM may suspend your account and you must pay GEM the full licence fee for any footage used, without affecting GEM's other rights.

4. Approving and paying

  1. When you approve a submission, you agree to license it at the budget per clip stated in the brief. GEM will invoice you, and payment is due within 14 days of the invoice date. Prices are in Australian dollars and include GST where GST applies: no GST is added on top. While GEM is not registered for GST, no GST is charged and GEM's invoices are not tax invoices. Once GEM is registered, the same prices include GST, GEM issues tax invoices showing the GST included, and you can claim GST credits if you're entitled to them.
  2. After GEM receives payment, it delivers the original, unwatermarked files to your account for download.
  3. You can decline any submission without charge before you approve it. Approved and paid clips are non-refundable unless the footage materially fails the brief's written specifications, in which case tell GEM within 7 days of delivery.

5. Your licence

  1. On payment, GEM grants you a non-exclusive licence to use each delivered clip for the usage, territory and term stated in the brief. Any other use needs GEM's written agreement.
  2. GEM owns the footage. You may edit and crop it for the licensed use, but you may not resell, sublicense or redistribute the footage itself, use it in a way that is defamatory, misleading or offensive, or imply that a person in it endorses anything.

6. What GEM promises

GEM confirms that delivered footage is original, that GEM has the right to license it, and that signed consent is held for recognisable people where the brief allows people. GEM's total liability under these terms is limited to the fees you paid for the affected footage, except where the law does not allow that limit (including your rights under the Australian Consumer Law).

7. Privacy

GEM handles your details as set out in the privacy policy. GEM records which previews you view, to protect creators' work.

8. General

GEM may update these terms; material changes apply only after you accept them in the Marketplace. Either party may close the account at any time; licences already paid for continue. New South Wales law applies.
